Terms of Service

Yolky is an online marketplace designed to connect customers with independent farmers, artisans, craftspeople, food producers, growers, service providers, and other independent vendors.

Yolky is solely a technology platform that facilitates introductions and communication between Users.

Yolky does not manufacture, inspect, warehouse, transport, package, broker, advertise on behalf of, endorse, guarantee, certify, or sell any products or services listed by Vendors unless expressly stated in writing.

All purchases, transactions, negotiations, deliveries, appointments, warranties, representations, and agreements occur solely between Customers and Vendors.

Yolky is not a party to those transactions.

You must be at least eighteen (18) years old to create an account or use the Platform.

By creating an account, you represent and warrant that:

• You are at least eighteen years of age.
• You have the legal authority to enter into contracts.
• All information you provide is truthful and accurate.
• You will keep your information current.

Yolky reserves the right to suspend or terminate any account if eligibility requirements are no longer met.

Customer accounts are currently provided at no cost.

Customers may:

• Search Vendors within available distance ranges.
• Contact Vendors through the Platform.
• Save favorite Vendors.
• Leave reviews.
• Report violations.
• Access future Platform features as released.

Customer accounts do not create any ownership interest in Yolky or guarantee continued access to any feature.

Vendor accounts are intended for independent businesses and individuals offering lawful goods or services.

To become a Vendor, applicants must:

• Create an account.
• Submit accurate business information.
• Upload a valid government-issued photo identification.
• Complete any verification requested by Yolky.
• Maintain accurate contact information.
• Agree to all Vendor requirements.

Approval of any Vendor account is solely within Yolky’s discretion.

Yolky may reject or revoke Vendor approval at any time with or without explanation to the fullest extent permitted by applicable law.

Vendor verification is intended to increase trust within the marketplace.

Submission of identification does not constitute:

• Certification by Yolky.
• A guarantee of honesty.
• An endorsement.
• A warranty of qualifications.
• A guarantee of identity.

Users acknowledge that identity verification cannot eliminate fraud.

Vendor subscriptions include a sixty (60) day free trial beginning upon approval.

After the trial expires, Vendor accounts automatically convert to a recurring monthly subscription of Ten Dollars (US $10.00) unless canceled before renewal.

Subscription pricing may be modified at any time upon advance notice.

Failure to pay subscription fees may result in suspension or termination of Vendor privileges.

Customer accounts remain free unless otherwise announced.

Vendors approved within the first one hundred eighty (180) days following the public launch of Yolky may receive a Founding Vendor badge.

This badge has no cash value and may be modified or revoked at Yolky’s sole discretion.

Premium Vendor designation may be awarded to Vendors who maintain:

• At least twenty-five (25) customer reviews.
• A minimum average rating of 4.5 out of 5 stars.

Premium status is a recognition feature only and does not constitute certification, endorsement, or warranty by Yolky.

Yolky reserves the right to remove Premium status at any time if eligibility requirements are no longer met or if fraudulent review activity is detected.

Yolky may display advertisements, sponsored listings, promoted Vendors, affiliate content, or other marketing materials.

The appearance of any advertisement or promoted listing does not constitute an endorsement by Yolky.

Advertising placements may be purchased subject to separate advertising policies.

Yolky retains complete discretion regarding the placement, removal, pricing, and display of advertisements.

YOLKY IS NOT THE SELLER OF ANY GOODS OR SERVICES OFFERED THROUGH THE PLATFORM.

VENDORS ARE INDEPENDENT BUSINESSES.

YOLKY DOES NOT GUARANTEE:

• Product quality
• Food safety
• Vendor honesty
• Licensing
• Insurance
• Timeliness
• Availability
• Pricing
• Delivery
• Professional qualifications
• Product authenticity
• Customer satisfaction

Customers assume all risks associated with transactions conducted through the Platform.

Yolky encourages Users to exercise independent judgment before engaging in any transaction.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

This applies to every payment you make on Yolky, including vendor memberships and newsletter advertising placements. When you check out, your contract for that payment is with Paddle, and Paddle is responsible for billing, payment processing, invoicing, and the collection and remittance of applicable sales tax and VAT.

Payment, billing, cancellation and refund mechanics are governed by the Paddle Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms and the Paddle Refund Policy at https://www.paddle.com/legal/refund-policy.

Yolky's own Refund Policy, including our 30-day money-back guarantee, is published at /refunds. To request a refund or manage a payment, visit https://paddle.net or contact support@yolky.app.

Vendor memberships renew automatically each month at the rate locked in when you signed up, until you cancel. Cancelling stops future renewals; your listing stays live through the end of the period already paid for. Failure to pay may result in suspension of Vendor privileges.

Yolky does not receive, store, or process your card number, CVV, or bank details.

You must not misuse the Platform. You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Engage in fraud, deception, spam, or unsolicited commercial messaging.
• Infringe the intellectual property, publicity, or privacy rights of any person.
• Upload malware, probe or scan the Platform for vulnerabilities, attempt to breach security or authentication measures, or interfere with the operation of the Platform.
• Scrape, harvest, or bulk-collect content or member data by automated means.
• Harass, threaten, or impersonate any other member or Yolky staff.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.

Yolky Inc. retains all right, title, and interest in the Platform, including its software, design, documentation, trademarks, logos, and branding. Nothing in these Terms transfers ownership of that intellectual property to you.

You are granted a limited, non-exclusive, non-transferable, revocable right to use the Platform in accordance with these Terms and your selected plan. You may not reverse engineer, resell, redistribute, or circumvent the technical limits of the Platform.

You keep ownership of the content you upload. You grant Yolky a limited, worldwide, royalty-free licence to host, store, reproduce, and display that content solely to operate and promote the Platform.

The Platform is provided on an “as is” and “as available” basis. Yolky does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, and may modify, suspend, or discontinue features at any time.

To the fullest extent permitted by law, Yolky disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Yolky may suspend or terminate your access to the Platform, in whole or in part, if:

• You materially breach these Terms.
• You fail to pay fees when due.
• Your account presents a security, fraud, or safety risk.
• You repeatedly or seriously violate our community, safety, or advertising policies.

Where practical we will give notice and an opportunity to correct the problem. Repeated violations may result in permanent termination. You may close your account at any time from Settings; closing your account does not by itself refund amounts already paid — see our Refund Policy.

Our Privacy Notice at /privacy explains what personal data Yolky Inc. collects as data controller, why we use it, who we share it with (including Paddle as Merchant of Record), how long we keep it, and the rights you can exercise.

These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules. The state and federal courts located in New York shall have exclusive jurisdiction over any dispute arising from these Terms.

You may not assign these Terms without our written consent. Yolky may assign them in connection with a merger, acquisition, or sale of assets.
